Fees for our Services are as specified on our pricing page or in a written proposal. You agree to pay all fees in accordance with the payment terms specified for your selected Services.
We accept payment by credit card, bank transfer, or check. All payments are due in U.S. dollars.
For projects over $5,000, we typically require a 50% deposit before work begins, with the balance due upon project completion and before final delivery.
Payments not received within 30 days of the due date may be subject to a late fee of 1.5% per month or the maximum allowed by law, whichever is lower.
You retain ownership of all materials you provide to us for use in connection with our Services.
Upon full payment of all fees, you will receive ownership of the final deliverables created specifically for you, excluding any proprietary tools, templates, or methodologies we use.
We grant you a non-exclusive, worldwide, royalty-free license to use the deliverables for your business purposes.
We retain ownership of all proprietary tools, templates, methodologies, and other materials we develop, regardless of whether they were used in providing Services to you.
Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party. This includes business plans, financial information, trade secrets, and any other information that should reasonably be understood to be confidential.
Confidential information does not include information that: (a) becomes publicly available through no fault of the receiving party; (b) was rightfully known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.
Our Services include a specified number of revision rounds as outlined in your project proposal or service agreement. Additional revisions may be subject to additional fees.
You are responsible for reviewing all deliverables and providing timely feedback. Once you provide final approval, the project is considered complete, and any subsequent changes will be treated as a new project.
You may cancel a project at any time by providing written notice. If cancellation occurs after work has begun, you will be responsible for payment for all work completed up to the cancellation date.
We reserve the right to cancel or refuse service to anyone for any reason at our discretion, including but not limited to violation of these Terms.
Due to the custom nature of our Services, we generally do not offer refunds once work has begun. In exceptional circumstances, refunds may be considered at our sole discretion.
To the maximum extent permitted by law, Evergreen Strategic Communications shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount you paid us for the specific Service giving rise to the claim.
You agree to defend, indemnify, and hold harmless Evergreen Strategic Communications and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
These Terms shall be governed and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.
Any dispute arising from these Terms or your use of our Services shall be resolved in the state or federal courts located in King County, Washington.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
